Terms of Service
Effective date: April 1, 2026
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Nsubiza Ltd ("Company", "we", "us", "our"), a company registered under the laws of the Republic of Rwanda with the Rwanda Development Board (RDB), headquartered in Huye, Southern Province. Nsubiza Ltd is registered with the Rwanda Development Board (RDB). NCSA licensing and mobile money operator approvals are in progress.
By accessing or using the Kwa Muzehe platform ("Service"), including the mobile application, web application, and any related services, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Kwa Muzehe is a property management and rent collection platform that enables:
- Management of rental properties and tenant records
- Rent collection via MTN Mobile Money, Airtel Money, and bank transfers
- Generation of receipts compliant with Rwanda Law No. 10/2009
- Digital lease agreements with OTP-based e-signatures per Rwanda Law No. 18/2010
- SMS reminders and payment notifications
- Financial reporting and analytics
- Maintenance request tracking
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Be a legal resident of Rwanda or hold valid authorization to conduct business in Rwanda
- Have a valid Rwanda phone number for account registration
- Have a valid Taxpayer Identification Number (TIN) if registering as a landlord collecting rent
- Have the legal right and authority to enter into these Terms
4. Account Registration
4.1. You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the accuracy of this information.
4.2. Your account is secured via OTP sent to your registered phone number. You are responsible for keeping your phone number secure and must notify us immediately of any unauthorized use.
4.3. You may not create multiple accounts, share your account, or allow others to access your account.
4.4. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
5. Subscription Plans and Fees
5.1. Starter Plan: Free forever, limited to 3 properties and 10 tenants. Includes basic features.
5.2. Professional Plan: 15,000 RWF per month. Includes unlimited properties, tenants, and all features. Billed monthly via Mobile Money or bank transfer.
5.3. Enterprise Plan: Custom pricing. Contact info@kwamuzehe.com for details.
5.4. The Professional Plan includes a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial.
5.5. Subscription fees are non-refundable, except where required by applicable Rwandan consumer protection law.
5.6. We reserve the right to change pricing with 30 days' written notice via SMS or email.
6. Payment Processing
6.1. Kwa Muzehe facilitates rent payments between landlords and tenants via MTN Mobile Money, Airtel Money, and bank transfers. We are a technology facilitator, not a financial institution.
6.2. Payments are processed by third-party payment providers (MTN Rwanda, Airtel Rwanda, and partner banks). We are not liable for payment processing delays, failures, or disputes between you and the payment provider.
6.3. Transaction fees charged by payment providers (e.g., MoMo withdrawal fees) are the responsibility of the applicable party and are separate from Kwa Muzehe subscription fees.
6.4. All rent payments recorded on the platform generate a receipt in compliance with Rwanda Law No. 10/2009 Article 15.
6.5. Payment processing features will be activated following regulatory approval from relevant authorities including the National Cyber Security Authority (NCSA) and mobile network operators.
7. Lease Agreements and E-Signatures
7.1. The platform enables digital lease agreements signed via OTP, which are legally valid under Rwanda Law No. 18/2010 on Electronic Messages, Electronic Signatures, and Electronic Transactions.
7.2. Lease agreements created through the platform are between the landlord and tenant. Nsubiza Ltd is not a party to any lease agreement.
7.3. In accordance with Rwandan rental law, security deposits facilitated through the platform shall not exceed three (3) months' rent.
8. User Obligations
You agree to:
- Provide accurate property, tenant, and financial information
- Comply with all applicable Rwandan laws, including tax obligations to the Rwanda Revenue Authority (RRA)
- Not use the Service for money laundering, fraud, or any illegal activity
- Not attempt to reverse-engineer, decompile, or hack the platform
- Not use the Service to harass, threaten, or discriminate against tenants
- Maintain accurate records and respond to tenant communications in a timely manner
9. Intellectual Property
9.1. The Kwa Muzehe platform, including its design, code, logo, name, and all content, is the intellectual property of Nsubiza Ltd and is protected under Rwandan and international intellectual property laws.
9.2. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.
9.3. You retain ownership of all data you input into the platform (property details, tenant information, etc.).
10. Limitation of Liability
10.1. The Service is provided "as is" and "as available". To the maximum extent permitted by Rwandan law, Nsubiza Ltd disclaims all warranties, express or implied.
10.2. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
10.3. Our total liability for any claim arising from the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
10.4. We are not liable for disputes between landlords and tenants, payment processing errors by third-party providers, or losses resulting from inaccurate data you provide.
11. Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with Rwanda Law No. 058/2021 Relating to the Protection of Personal Data and Privacy.
12. Termination
12.1. You may terminate your account at any time by contacting us at support@kwamuzehe.com.
12.2. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees.
12.3. Upon termination, you may request an export of your data in a machine-readable format within 30 days. After 30 days, your data will be deleted except where retention is required by Rwandan law.
13. Dispute Resolution
13.1. These Terms are governed by the laws of the Republic of Rwanda.
13.2. Any dispute arising from these Terms or the Service shall first be addressed through good-faith negotiation between the parties.
13.3. If negotiation fails, disputes shall be resolved through arbitration at the Kigali International Arbitration Centre (KIAC) in accordance with its rules.
13.4. Nothing in this clause prevents either party from seeking injunctive relief from the competent courts of Rwanda.
14. SMS and Communications
14.1. By using the Service, you consent to receive SMS messages related to your account, including rent reminders, payment confirmations, and service notifications.
14.2. Landlords using the bulk SMS feature are responsible for ensuring their communications to tenants comply with applicable Rwandan telecommunications regulations.
14.3. You may opt out of non-essential marketing communications at any time.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via SMS or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
